WEB DESIGN & AUTOMATION SYSTEMS SERVICE AGREEMENT

Article 1 – PARTIES

On one side, NEİRT INFORMATION TECHNOLOGIES, located at Veysel Karani Mah. Gülhane Cad. No:7 Sancaktepe / ISTANBUL (referred to as NEİRT INFORMATION TECHNOLOGIES), and on the other side,

…………………………………………………………………………………………… (referred to as CUSTOMER)

have reached a full agreement under the terms and conditions outlined below.

Article 2 – SUBJECT

This agreement covers the service of preparing the internet software needed by the CUSTOMER to carry out communication, promotion, advertising, and similar services, by NEİRT INFORMATION TECHNOLOGIES.

Article 3 – CUSTOMER’S OBLIGATIONS

3.1 The CUSTOMER is responsible for providing the necessary image and text-based materials for the arrangement and design of web-based software.

3.2 The CUSTOMER accepts and declares that the intellectual property rights of the special software techniques used in the software produced by NEİRT INFORMATION TECHNOLOGIES belong to NEİRT INFORMATION TECHNOLOGIES, and these softwares will not be reproduced or distributed in any way. If reproduced or distributed, the CUSTOMER is obliged to pay 5 (five) times the service fee.

3.3 The CUSTOMER accepts and declares that all ideas, thoughts, expressions, comments, and writings expressed by them belong to them, and that NEİRT INFORMATION TECHNOLOGIES is not responsible in any way.

Article 4 – NEİRT INFORMATION TECHNOLOGIES’ OBLIGATIONS

4.1 NEİRT INFORMATION TECHNOLOGIES is responsible for preparing the software (web design and automation systems) needed by the CUSTOMER for promotion and advertising.

4.2 NEİRT INFORMATION TECHNOLOGIES is obliged to correct any errors or issues related to the provided services within 24 hours.

4.3 NEİRT INFORMATION TECHNOLOGIES declares that after completing the necessary studies, it will integrate the required adjustments and additions to the system within the shortest time for modifications to existing elements of the design (corrections that do not require a complete redesign).

4.4 NEİRT INFORMATION TECHNOLOGIES declares that after completing the necessary studies, it will integrate the required adjustments and additions to the system within the shortest time for additional design requests (modifications and additions that require design changes), for an additional fee.

Article 5 – SERVICE DURATION AND FEE

5.1 After the service promised in this agreement is provided, free content update service will be provided for 3 (three) months. If content update continues after this period, the monthly fee of ……………….. (Turkish Lira) will apply, and the service duration can be extended upon mutual agreement between both parties with the corresponding fee.

5.2 The service fee is determined by NEİRT INFORMATION TECHNOLOGIES as ……………….. (Turkish Lira) + VAT.

5.3 40% of the service fee (………) will be paid by the CUSTOMER to NEİRT INFORMATION TECHNOLOGIES at the beginning of the project, and the remaining 60% will be paid after the design process is completed, upon invoice.

5.4 The remaining 60% payment for the website must be paid within 1 (one) week after the website is launched.

5.5 If the website has started its publication process, the payment for sites waiting due to lack of content from the CUSTOMER cannot be delayed under any circumstances.

5.6 If payments are not made, NEİRT INFORMATION TECHNOLOGIES reserves the right to postpone, suspend, or cancel the service.

Article 6 – AUTHORIZED COURTS AND ENFORCEMENT OFFICES

In case of any disputes arising from the implementation of this agreement, the courts and enforcement offices of Istanbul (Kartal) are authorized.

This agreement, consisting of 6 (six) articles and 2 (two) pages, has been prepared in 4 (four) copies on ……./……/……. date.
